This Legal Notice governs the use of Ghiblify Games (the “Service”), operated by NanoRes, LLC (“NanoRes”, “we”, or “us”). Ghiblify Games is a platform for user-generated content (“UGC”) gaming experiences, available exclusively through our official website. By accessing or using Ghiblify Games, you agree to the terms of this Legal Notice. If you do not agree, you must not use the Service. Use of the Service is also subject to our Privacy Policy and any additional guidelines or terms posted on our site.

Company Information: NanoRes, LLC is the owner and operator of Ghiblify Games. All references to “Ghiblify Games” include the website, the games, and related services provided by NanoRes, LLC. We reserve the right to update these terms from time to time, and continued use of the Service constitutes acceptance of any changes.

Description of Service

Ghiblify Games provides user-generated content (UGC) games where players can create, share, and trade custom game levels and assets. The platform integrates blockchain technology (Solana network) and decentralized storage (Arweave) to enable players to truly own and control their in-game creations. Key characteristics of our Service include:

• UGC Ownership via NFTs: When you create game content (such as custom levels or items) in Ghiblify Games, you have the option to mint it as a unique non-fungible token (“NFT”) on the Solana blockchain. This NFT acts as a permanent certificate of ownership for your UGC asset. The NFT’s metadata includes a pointer (link) to the content data stored off-chain.
• Decentralized Storage (Arweave): Rather than storing user-created assets on our servers, all UGC asset files (e.g. level data, images, or other asset files) are saved to the Arweave permaweb for permanent, decentralized storage. Arweave is a blockchain-based storage network that preserves digital content indefinitely and is designed such that once data is uploaded, it cannot be altered or deleted. This means any UGC content you publish through our games will be permanently available on Arweave’s network of storage nodes. We do not use traditional Web2 centralized servers for storing UGC assets.
• Blockchain Transactions: Interactions with our games (such as minting an NFT or making an in-app purchase with crypto) are executed via smart contracts on the Solana blockchain. Transactions on Solana are public and irreversible; your blockchain public address and transaction details will be visible on the public ledger whenever you engage in on-chain game actions. NanoRes, LLC does not own or control the Solana network or the Arweave network, and is not responsible for their operation or any third-party wallets or services you might use.

By using the Service, you acknowledge that blockchain and decentralized storage are integral parts of our platform. You understand that this comes with unique attributes – such as transparency of transactions, user custody of assets, and the permanence of data – which are further addressed below.

User-Generated Content and NFTs

Ghiblify Games is a UGC-driven platform, meaning players contribute content (like custom game levels) that become part of the game experience. We value creativity and give you ownership of your creations through NFTs, but with ownership comes responsibility. By creating or uploading content in our games, you agree to the following:

• Your Content, Your Responsibility: You retain ownership of the original aspects of the content you create. When you mint a game level or item as an NFT, that token is irrevocably associated with the content data stored on Arweave/IPFS or similar storage, serving as a permanent record of your creation. However, you are solely responsible for the content you create and publish. Do not create or post any content that is illegal, harmful, or infringes on others’ rights.
  
  In particular, you agree not to use the Service to create, upload, or distribute content that:
  • Is unlawful, defamatory, libelous, harassing, or threatening.
  • Involves child exploitation, pornography, or obscene material.
  • Promotes violence, hate, or discrimination against any group or individual.
  • Infringes any copyright, trademark, or other intellectual property rights of others.
  • Violates any applicable law or regulation.

We reserve the right to remove or restrict access to any UGC that violates these rules or our policies. Note: Because UGC is stored on decentralized networks (Solana and Arweave), we cannot physically delete the content from those networks if it violates terms. What we can do is disable or hide such content within our own Service interface and take appropriate action against the offending account. You acknowledge that once content is on the blockchain/Arweave, neither we nor any central authority can guarantee its removal.

• Licensing of UGC to Us: By using our tools to create content and by publishing it through our Service, you grant NanoRes, LLC a worldwide, royalty-free license to use, reproduce, distribute, modify, adapt, and display your UGC within the Ghiblify Games platform and in any marketing or promotional materials for the Service. This license is necessary for us to operate the games (for example, to display your level to other players) and to promote community creations. This does not transfer ownership – you remain the owner of your UGC NFT, but you allow us to showcase and utilize it as described.
• NFT Minting and Transfers: When you choose to mint your UGC as an NFT, that process will typically require a transaction fee (gas fee) on the Solana network, and possibly a fee for Arweave storage. These fees are paid in cryptocurrency (e.g. SOL) and are non-refundable, as they are costs imposed by the network, not by us. Once minted, your UGC NFT can be held in your Solana wallet, transferred, or traded peer-to-peer. Keep your wallet credentials secure – we are not responsible for lost access to NFTs or tokens due to lost private keys, seed phrases, or other security breaches. If you sell or transfer an NFT representing UGC, the new holder will have ownership of that NFT (and associated rights to view/use the underlying content), but they will also be subject to this Legal Notice for any use of the Service.
• Permanent Storage Notice: Because UGC assets are stored via Arweave’s “permaweb”, you should be aware that any content you publish is essentially permanent and public. Arweave’s design ensures data will remain available indefinitely and cannot be easily taken down. Think carefully before publishing content. Even if you remove or edit content within the game, the original file might remain accessible on the Arweave network to anyone who has its link. By creating content on Ghiblify Games, you accept this risk and responsibility. We strongly advise not to include personal, sensitive information in any UGC, and to adhere strictly to our content guidelines.

In-App Purchases and Ghiblification Cryptocurrency

Our games incorporate in-app purchases which utilize a Solana blockchain-based token called Ghiblification (sometimes referred to as the $GHIBLI token) as well as NFTs for certain entitlements. By making any purchase or transaction within Ghiblify Games, you agree to the following terms:

• Nature of Ghiblification Token: Ghiblification is a cryptocurrency token on the Solana blockchain that serves as an in-game currency for Ghiblify Games. It is a type of memecoin created for fun and entertainment purposes within our ecosystem. This token is not legal tender, not an investment, and has no guarantee of future value. The SEC has noted that meme tokens typically have no fundamental utility or promise of return, existing primarily for entertainment. Similarly, we emphasize that Ghiblification’s sole intended use is for in-app purchases, gameplay enhancements, and community engagement on our platform.
• No Investment or Speculation: You agree and affirm that you are acquiring or spending Ghiblification tokens (and any in-game NFTs or digital items) for their consumptive use in the game – for enjoyment, access to game features, or collectible value – and not for investment or speculative purposes. You should not expect any profit from merely holding Ghiblification tokens or game NFTs; any potential increase in market value is purely speculative and incidental to their use in-game. Ghiblification is a utility token for our games, and we make no promises of its future market price.
• Volatility and Risks: Cryptocurrency values can be highly volatile. The exchange rate or value of Ghiblification (or any crypto asset) may fluctuate dramatically over time. By using Ghiblification, you acknowledge that you alone bear the risk of any potential decrease in value. We do not guarantee the stability of the token’s value, and we are not liable for any loss of financial value you might experience. Additionally, using crypto requires technical savvy; mistakes (such as sending tokens to the wrong address or losing your wallet credentials) can result in irreversible loss. All blockchain transactions are irreversible – once a transaction is confirmed on Solana, it cannot be undone by us. We have no ability to reverse or refund on-chain transactions (for example, if you mistakenly send tokens to an incorrect address, or if an in-game purchase transaction is recorded on the blockchain).
• No Liability for Third-Party Services: To use Ghiblification and NFTs, you will need a compatible Solana wallet (third-party software, e.g. Phantom or Solflare). Your wallet is used to store your tokens and NFTs and to sign transactions. NanoRes, LLC does not custody your tokens or NFTs – you are in full control of your digital assets via your own wallet. We neither own nor control the Solana network, any wallet provider, cryptocurrency exchanges, or Arweave, and we are not responsible for any issues or losses caused by those external services. This includes, but is not limited to, network outages or bugs, wallet hacks, or malfunctions of the Solana or Arweave protocols. You should familiarize yourself with the terms of use of your chosen wallet and exercise security best practices.
• Purchases are Final: Unless required by applicable law, all in-app purchases and token/NFT transactions are final and non-refundable. Because these transactions occur on a public blockchain, we cannot reverse them. Ensure you review each purchase or transaction carefully before confirming. In rare cases where a refund is mandated by law and technically feasible (e.g., if a smart contract is programmed to allow it), any refund will be handled in the same form of cryptocurrency or asset originally used. Otherwise, there is no ability to “return” digital items or tokens once purchased.
• Not a Security; No Regulatory Approval: Ghiblification tokens and our in-game NFTs are not securities or investment contracts. They have not been registered with or approved by any securities regulatory authority, because they are intended for gameplay and entertainment, not for profit. Government regulators (such as the U.S. SEC) have clarified that memecoins like ours are generally not considered securities and offer no protections under securities law. By participating, you acknowledge this status. However, you are responsible for complying with your local laws regarding cryptocurrency usage, and you should not participate if such usage is unlawful in your jurisdiction.

Intellectual Property Rights

All content and materials provided by Ghiblify Games (outside of user-generated content) are the intellectual property of NanoRes, LLC or its licensors. This includes but is not limited to the game software, code, artwork, graphics, logos, designs, characters, sound effects, music, and text appearing on the website or in the games. These are protected by copyright, trademark, and other applicable intellectual property laws. You are granted a limited, non-transferable, revocable license to access and use the Ghiblify Games Service and its content for your personal, non-commercial entertainment in accordance with this Legal Notice. You may not copy, distribute, publicly display, modify, or create derivative works from our intellectual property unless expressly authorized by us.

User-Generated Content IP: You retain ownership of the creative aspects of the UGC you create (and any NFT you mint representing that content, as described in Section 3). However, note that the game environment and tools you use to create that content are part of our intellectual property. For example, if you design a level using our game’s graphics and mechanics, you own the specific layout and any original design you contributed, but you do not gain ownership of the underlying game art or software used to generate that level. Your NFT gives you ownership of a record/token representing your creation, but NanoRes, LLC retains all ownership rights to the underlying game framework, assets, and engine.

By creating content on our platform, you also agree not to use any third-party content (images, music, code, etc.) in your UGC unless you have the legal right to do so. We are not liable for any infringement you commit by uploading content you don’t have rights to. If we are notified (e.g., via a DMCA notice) that your UGC violates someone else’s intellectual property, we may remove or disable access to that content and take further action if necessary.

Disclaimers of Warranties

Use at Your Own Risk: Ghiblify Games and all related services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind. NanoRes, LLC disclaims any and all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not guarantee that the Service will meet your requirements or expectations, that it will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

Specifically, given the innovative nature of our platform:
- We do not warrant that blockchain or decentralized storage technology will perform perfectly. There may be delays, downtimes, or technical glitches beyond our control.
- We do not guarantee that any particular UGC, game, or feature will remain available on the platform. (For example, we may have to disable certain content or features for legal compliance or technical reasons.) The online availability of games and content may be subject to change, and we make no promise that the Service will be available in all locations or at all times.
- We do not warrant that data stored on Arweave or transactions on Solana will remain accessible forever, even though they are intended to be permanent. There is always a possibility (however slight) of unforeseen technical issues that could affect data availability.

No Warranty on Content: While we endeavor to foster a safe and enjoyable environment, we make no warranty or guarantee regarding any content (including UGC) on the platform. Content presented through Ghiblify Games, whether provided by us or by users, is provided for entertainment and information. Use your discretion and judgment when accessing user-generated content. We are not responsible for the accuracy, quality, or legality of UGC or any third-party content accessible in our games.

Limitation of Liability

To the fullest extent permitted by law, NanoRes, LLC and its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of (or inability to use) Ghiblify Games or any transactions involving Ghiblification tokens or NFTs. This includes, without limitation, any loss of profits, loss of data, loss of goodwill, loss of digital assets (cryptocurrency or NFTs), or other intangible losses, even if we have been advised of the possibility of such damages.

In no event shall our total liability to you for all claims arising under or related to the Service exceed the total amount you paid to us (if any) in the six (6) months preceding the claim (or, if greater, fifty U.S. dollars). Because some jurisdictions do not allow certain limitations of liability, some of these limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.

Specific acknowledgments:

• UGC and Blockchain Transactions: You acknowledge that due to the decentralized nature of our Service, we cannot undo or mitigate harm from on-chain actions. We are not liable for any claims or damages that arise from transactions you engage in via the blockchain or from the permanent nature of data on Arweave. For example, if you mint an NFT and later regret the content, or if you spend tokens and don’t get the expected item due to user error or misunderstanding, those outcomes are largely irreversible by us. We are not liable for any user errors, or technical failures of the Solana or Arweave networks, or any third-party services.
• No Liability for Value Loss: We accept no liability for any loss in the value of Ghiblification tokens, NFTs, or any other digital asset. The crypto market is volatile and unpredictable; you assume all risk for any financial losses. The Service is meant for enjoyment and creativity, and you should only participate with funds you are prepared to lose or spend for entertainment.
• Third-Party Content and Links: Our website or communications may include links or integrations to third-party sites or services (for example, a link to a Solana blockchain explorer, or an embedded widget for a wallet). We make no endorsements or warranties about third-party websites or services, and we are not liable for anything that occurs when you use those external services. Your interactions with third-party services are governed by their own terms and privacy policies.

User Accounts and Security

You may be required to create an account or connect a crypto wallet to use certain features of Ghiblify Games. You agree to provide accurate, up-to-date information when creating an account and to keep your login credentials secure. You are responsible for all activities that occur under your account or wallet. If you become aware of any unauthorized access or breach of security (such as a stolen password or suspected compromise of your wallet), you must notify us immediately so we can assist in securing your account (to the extent we are able, noting that we do not have access to your private wallet keys).

We may, in our sole discretion, suspend or terminate your access to the Service if we suspect fraud, hacking, violation of this Legal Notice, or other harmful behavior. Unauthorized use of the Service (such as exploiting bugs, using bots/automation in an unauthorized way, or engaging in illegal activities through the platform) is strictly prohibited and may result in termination of your rights to use Ghiblify Games without notice.

Governing Law and Dispute Resolution

This Legal Notice and any dispute or claim arising from your use of Ghiblify Games shall be governed by and construed in accordance with the laws of Fort Worth, Texas, without regard to its conflict of law principles. By using the Service, you agree that any disputes that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the state or federal courts of Fort Worth, Texas, unless an alternative dispute resolution mechanism (such as arbitration) is provided for under applicable law. We reserve the right to require arbitration for disputes where applicable and will provide a separate arbitration agreement or clause if we choose to implement one.

Class Action Waiver: You agree that any claims against NanoRes, LLC will be conducted only on an individual basis and not as part of a class, consolidated, or representative action. You hereby waive any right to a jury trial in any litigation arising out of or related to your use of the Service or this Legal Notice, to the extent permissible by law.

Miscellaneous

• Children: Ghiblify Games is intended for users who are at least 18 years old, or the age of majority in your jurisdiction. If you are under 18, you may use the Service only with involvement and consent of a parent or legal guardian. We do not knowingly collect personal information from children under 13 without parental consent, and our games are not directed at young children.
• Changes to the Service: We may modify or discontinue, temporarily or permanently, any part of the Service (including particular game features, tokens, or content offerings) with or without notice. You agree that we are not liable to you or any third party for any such modification, suspension, or discontinuation of the Service.
• Termination: We reserve the right to terminate or suspend your access to Ghiblify Games, at our sole discretion, for violating this Legal Notice or for any reason. Upon termination, your rights under these terms will immediately cease, but the provisions of this Legal Notice that by their nature should survive (such as ownership, disclaimers, and liability limitations) will continue in effect. Notably, any UGC NFTs you have minted will remain on the blockchain (under your control if you hold them in your wallet), even if your account is terminated – you just won’t be able to use our Service to interact with them.
• Indemnification: You agree to indemnify and hold harmless NanoRes, LLC and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your UGC, your violation of this Legal Notice, or your violation of any rights of another.
• Severability: If any provision of this Legal Notice is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision of this Legal Notice shall not constitute a waiver of such right or provision.
• Entire Agreement: This Legal Notice (along with any other terms expressly incorporated by reference) constitutes the entire agreement between you and NanoRes, LLC regarding the use of Ghiblify Games, superseding any prior or contemporaneous agreements on the subject matter.
